DFARS 252.203-7005 Representation Relating to Compensation of Former DoD Officials
Does the regulation require it to flow down?
No
There is no flow-down mandate and there cannot be one — 203.171-4(b) prescribes it for solicitations only and the provision text speaks to 'the Offeror'. Primes reproduce it in flow-down matrices because they collect the same representation from their own supply chain at quote stage; a sub that finds it in an executed purchase order is looking at a solicitation-stage instrument that survived into the contract by copy-paste.
A clause can reach your subcontract without a mandate. Once it is in your document, it is a contract term all the same. The missing mandate is a fact about the regulation. It is not a ruling on your order.

The representation, made by submitting the offer, that every covered DoD official on the payroll who would work this contract is within the post-employment restrictions
DFARS 252.203-7005(b)
When it is used
All DoD solicitations, including solicitations using FAR part 12 procedures for commercial products and commercial services, and solicitations for task orders and delivery orders (DFARS 203.171-4(b)). No dollar threshold, no commercial or COTS exception. This is a solicitation instrument: it attaches at offer, not during performance. Its companion duty during performance lives in the clause at 252.203-7000.
Read closely
There is no separate sheet: the act of offering makes the representation, and it is qualified to the best of the offeror's knowledge and belief. What stands behind that belief is the ethics-opinion file the clause at 252.203-7000(b) calls for, and (a) borrows its definition of a covered official from that clause. This is a solicitation instrument; found inside an executed order it is a copy-paste of the prime's own Section I list.

This is research, not legal advice. It states what the regulation says about this clause and cites the paragraph behind it. It does not rule on your order, and it does not rule on whether a prime's markings are correct.
