What it makes you produce

2 items for your checklist, slowest first.

  1. A program you have to be running

You are either running it or you are not, and what the prime asks for is the date it started.

    • Reasonable procedures in place and in use to prevent and detect kickbacks in your own operations and in your direct business relationships

      FAR 52.203-7(c)(1)
  2. Something you write

Days to weeks, and nobody outside your company has to agree to it.

    • A written report to the agency Inspector General, or to the Attorney General where the agency has none

Owed promptly on reasonable grounds to believe a kickback described in (b) may have occurred

      FAR 52.203-7(c)(2)

When it is used

Contracts > $200,000 (was $150k until 2025-09-30); not used in commercial acquisitions (the statute applies regardless).

Read closely

(c)(5) is the paragraph that decides which of these two travels: the substance carried into lower-tier subcontracts is the clause excepting (c)(1), so the procedures duty attaches where the whole clause was written in and not where only its substance was. (c)(3) is full cooperation with a federal investigation, and (c)(4) lets the contracting officer offset a kickback against money owed, or direct the prime to withhold it from a supplier.

This is research, not legal advice. It states what the regulation says about this clause and cites the paragraph behind it. It does not rule on your order, and it does not rule on whether a prime's markings are correct.
