What it makes you produce
3 items for your checklist, slowest first.
A program you have to be running
You are either running it or you are not, and what the prime asks for is the date it started.
- FAR 52.203-13(c)
An ethics awareness and training program, and an internal control system with a reporting channel such as a hotline that an employee can use anonymously
Owed within 90 days of award, unless you represented yourself as a small business concern for this award or the contract is for a commercial product or commercial service — (c) opens by excluding both
Something you write2
Days to weeks, and nobody outside your company has to agree to it.
A written code of business ethics and conduct, made available to each employee engaged in performance, within 30 days of award
FAR 52.203-13(b)(1)- FAR 52.203-13(b)(3)(i)
A written disclosure to the agency Inspector General, copy to the contracting officer
Owed on credible evidence that a principal, employee, agent or subcontractor committed fraud, bribery, a gratuity or conflict of interest violation, or a civil False Claims Act violation
When it is used
Contracts > $7.5M (was $6M until 2025-09-30) AND period of performance > 120 days.
Read closely
The three sit on different clocks. (b)(1) is 30 days and (b)(1)(ii) asks for the code to be made available to each employee rather than handed to them one by one. (b)(3) starts the moment credible evidence appears. The hotline is (c)(2)(ii)(D), inside the internal control system, alongside periodic reviews, monitoring and auditing. On a DoD order 252.203-7003 names which Inspector General receives the (b)(3) disclosure.

This is research, not legal advice. It states what the regulation says about this clause and cites the paragraph behind it. It does not rule on your order, and it does not rule on whether a prime's markings are correct.
